     32-3-303. Amendments. (1) The articles of incorporation or the bylaws may be amended as provided in the bylaws. Amendments to the articles of incorporation or bylaws must be submitted to the director of the department of administration who shall approve or disapprove the amendments within 60 days.
     (2) Amendments become effective upon:
     (a) approval in writing by the director, for which a fee may not be charged; and
     (b) in the case of articles of incorporation, filing with the secretary of state.
